Intellectual Property Rights

Copyright Claims
In the operation of the Site, Mastercard may act as a “service provider” (as defined by the DMCA) and may provide services as an online provider of materials and links to third-party websites. As such, third-party materials, which Mastercard does not own or control, may be transmitted, stored, accessed, or made available using the Site. Mastercard has certain legally mandated procedures for notifications of copyright infringement that occur on the Site and has developed a policy that provides for the immediate removal of any content or suspension of any user found to have infringed the rights of Mastercard or a third party or violated any laws or regulations regarding intellectual property or this Agreement. If you believe that any material available on the Site infringes a copyright, you must notify Mastercard using the notification procedure under the DMCA (17 U.S.C. Sect. 512(c)(2)). Mastercard will respond promptly, removing or disabling access to the material claimed to be infringing and will follow the procedures specified in the DMCA to resolve the claim between the notifying party and the alleged infringer who provided the Content. Comments and User Conduct
As a user of the Site, you can post comments – which can take the form of text and, potentially, photos, videos, image files and audio, other types of content, and links to such content, if the Site allows (collectively referred to as “User Comments”). You will be solely responsible for your own User Comments and the consequences of posting or publishing them. In relation to User Comments, you affirm, represent, and/or warrant that: your respective User Comments are an original work by you and that you own or have the licenses, rights, approvals, and permissions to use them and authorize Mastercard to use any and all of your User Comments in any and all media known now or invented later, without territorial or time restrictions and without compensation, and that you have all necessary approvals for collecting, using, and disclosing any identifiable personal information, images, or similar elements contained or displayed in any and all of your User Comments, in a manner agreed upon by the Site and this Agreement. You agree not to include in any User Comment any material covered by copyright, protected by trade secret, or subject to third-party property rights, including privacy and publicity rights, unless you are the owner of these rights or have permission from the rightful owner of these rights and the necessary approvals from any individuals whose identifiable personal data is contained in the material, to post the material in question and grant Mastercard all the licensing rights granted herein. Additionally, you guarantee and declare that you will disclose the existence of any patent registrations or pending applications owned by you and related in any way to the User Comment posted by you.
You confirm and agree that there is no confidentiality relationship or obligation to keep the User Comment confidential, despite any contrary statements or legends contained in the User Comment and in any associated materials.
Ownership of User Comments and their Use
By composing a User Comment, you understand that you grant Mastercard an international, perpetual, royalty-free, fully paid, irrevocable, sublicensable, transferable, and non-exclusive license to and over the User Comment (including under copyright, patent, and trademark law), including the right to edit, modify, and create derivative works and any concepts or ideas contained in the User Comment, including documents, artworks, statements, drawings, sketches, corrections, displays, photographs, film sequences, removal of portions, musical pieces, audio and video sequences, records, whether printed or electronic, products or creations made by you as part of the User Comment. The license you grant Mastercard includes the right of Mastercard and its designees to reproduce the User Comment, combine your User Comment with other works, and modify, translate, distribute copies, display, perform, license, and apply for copyright registration for the User Comment transformed in the name of Mastercard internationally, permanently, and in any media currently existing or that may exist in the future. For example, the granted license allows Mastercard and its designees to use only certain parts of your User Comment, to re-record or modify any audio files or visual images you provide, to rewrite your User Comment and/or to insert other materials, either created by Mastercard or licensed by others, into your User Comment. If we create other works using the User Comment, those works will be our property and may be used according to these general instructions and will not require your approval.
By composing a User Comment, you waive and agree not to claim any copyright or “moral” rights resulting from our modification of the Comment or any photographs, sequences, illustrations, statements, or other works contained in the Comment. You also agree to appoint Mastercard as your irrevocable agent with respect to the User Comment, with the right to execute and deliver any documents on your behalf, so that Mastercard can use the User Comment you license in any manner deemed appropriate by Mastercard for holding and protecting rights in any derivative works created from your User Comment and to remove the User Comment from any other website or forum.
Upon Mastercard’s request, you will execute and provide such additional licensing instrument as Mastercard may deem reasonably necessary to establish Mastercard’s ability to use the User Comment as Mastercard deems appropriate and waive the “Moral Rights of Authors” as set forth in these Terms and Conditions. If Mastercard fails to request the mentioned licensing instrument, this shall not be considered a waiver by Mastercard of its rights, and Mastercard may subsequently request such instrument.
Transmitted Information or Feedback
From time to time, we may request feedback on the Site and Mastercard’s products and/or services. Any communication or material you transmit or post (a) will be treated by Mastercard as non-confidential and non-proprietary, (b) will become the property of Mastercard, and Mastercard will exclusively own all rights, title, and interest therein, and (c) will be used without restrictions by the licensees and affiliates of Mastercard at their sole discretion, without any obligation, compensation, or other payment obligation to you. This feedback may be used for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcasting, and posting in whole or in part, in any medium and in any form currently known or developed later, on this Site or otherwise. Additionally, Mastercard will have no obligation to respond to any such communication. Despite the above, Mastercard maintains its policy of not accepting or considering any creative ideas, suggestions, or materials from the public regarding its products and services (“Comments”), and as such, you should not make any Comments about Mastercard in any communication through this Site or otherwise. However, if you send us a Communication, despite our request not to do so, this Communication will immediately become the property of Mastercard, and Mastercard will exclusively own all rights, title, and interests therein. Merchants and Commercial Offers
Merchants may offer Mastercard certain discounts or other benefits (e.g., free shipping) for the purchase of goods or services (“Offers”) available on the Mastercard Site. These Offers are subject to terms and conditions and may be modified at any time without notice. Mastercard will not be liable for any loss or damage incurred as a result of any interaction between you and a merchant regarding these Offers.
Except as otherwise set forth herein, all issues, including but not limited to the delivery of goods and services, returns and warranties, shall be resolved solely between you and the relevant merchants. You acknowledge that Mastercard does not endorse or guarantee the merchants that may be found on the Mastercard Site or their Offers.
Contests with Prizes
From time to time, We inform you of certain contests or other Mastercard promotions. All such prize contests and promotions are subject to Official Rules as well as all applicable laws, regulations, and statutes.

Mastercard’s Non-Application Agreement of Terms of Use to any Mastercard Payment Card Holder
Mastercard is a leading company in the payment services industry. Mastercard is not a financial institution and does not issue any credit, debit, check, or payment cards. Your payment relationship with a Mastercard-branded card is with the issuing bank or financial institution and not directly with Mastercard. Any and all questions or issues related to your Mastercard payment card or cardholder account must be addressed to the bank or financial institution that issued your card, and not to Mastercard. While Mastercard has a relationship with your issuing bank or financial institution, this relationship does not involve individual cardholders or account holders of payment cards.

Miscellaneous Provisions These Terms of Use will be construed, interpreted, and performed exclusively in accordance with the laws of the State of New York, United States of America, without application of any principles that would contravene the law. You expressly agree to submit to the personal jurisdiction of the federal and state courts located in New York for any action in law or equity arising directly or indirectly from or in connection with these Terms of Use or this Site. By the present, you accept and submit to the personal jurisdiction of these courts in any action related to the Mastercard Site, your access or use thereof, or these Terms of Use, and the conduct of extraterritorial proceedings.
The content and software of the Mastercard Site may be subject to U.S. jurisdiction over export and the jurisdiction of other countries over import. As for your use of this Site, you are solely responsible for complying with all applicable laws and regulations regarding export control, re-export, and import in all jurisdictions, including but not limited to those of the U.S. Department of Commerce, Export Administration Regulations, 15 CFR Parts 730-774, International Traffic in Arms Regulations, country-specific economic sanctions programs implemented by the Office of Foreign Assets Control, and export and import control laws and regulations of any other country.
